Washington, D.C. office of an AmLaw firm seeks corporate finance associate attorney with 1-6 years of experience. The candidate will focus on transactional finance. Will represent financial institutions, corporate borrowers, and private equity firms in a wide range of banking and finance transactions, including cross-border. These transactions include secured and unsecured commercial lending, project financing, acquisition financing, energy and utility financings. Draft and negotiate loan documentation (including credit agreements syndicated and bilateral, term and revolving, single and multi-tranche; guarantees; security agreements; account control agreements; inter-creditor agreements; subordination agreements; and pledge agreements) and legal opinions. Conduct regulatory due diligence. Conduct legal research and analysis. Review U.S. corporate documents in the context of lending transactions. Communicate and correspond with colleagues, clients and other counsel. Perform legal research primarily in finance-related contexts; ability to use library reference materials and/or electronic resource tools. Must have extensive transactional banking (including secured lending), debt capital markets, private placement financing and 144A debt financing experience, including familiarity with bond indentures. Should have knowledge of Microsoft Office, Outlook, WORD, Excel, and Adobe Acrobat. Must be admitted to practice law in the State of New York and/or District of Columbia. Should have finance experience including: Representing financial institutions, private equity firms and corporate borrowers; executing finance-related transactions, including commercial lending, project finance, acquisition finance, energy and utility finance; drafting and negotiating loan documentation, legal opinions, closing certificates, authorizing board resolutions and other customary closing documents; experience with indenture and 144A debt offers.
Additional Skills: The candidate must have top academic credentials and a stellar law firm employment history (limited changes since graduation). Should have ability to establish and maintain effective working relations with others; ability to communicate effectively in English orally and in writing; ability to organize and prioritize workload. Must have a JD degree; Bachelor s degree.
